Terms of Service

These terms cover all services from MTD Labs LLC, a Florida limited liability company (referred to here as "MTD Labs," "we," or "us") - custom development (websites, bots, apps, game mods, scripts) and AI agents (chat and voice), as one-time builds and as monthly plans. By hiring MTD Labs or using anything we build or operate for you, you agree to the terms below. Questions? Reach out before you order - by email, a call, or a ticket in our Discord.

Payment terms

  • One-time builds require a deposit (typically 50%) before work begins; the balance is due on delivery, before files or access are handed over.
  • A preview is provided before final payment on build work.
  • Monthly plans and AI-agent retainers are billed in advance and renew automatically until cancelled.
  • Accepted methods: PayPal, Stripe (card), Ko-fi, Venmo, and Zelle. Card payments may carry a processor fee added to the total.
  • Prices are estimates until a written quote is confirmed. USD only - no crypto, no gift cards, no chargebacks.

1.Services

MTD Labs provides custom software development and custom AI agents (chat and voice), as one-time builds and as ongoing monthly services. The specific deliverables, scope, and price for your project are set out in your written quote, which forms part of these terms.

2.Payment and refunds

Deposits are non-refundable once work begins. Monthly plans are billed in advance and are non-refundable for the current period. Cancellations made within 24 hours of work starting may receive a partial refund at MTD Labs' discretion, minus processing fees.

3.Monthly plans and retainers

Ongoing plans (hosting, maintenance, support, and AI-agent retainers) renew automatically each billing period until cancelled. You may cancel anytime, effective at the end of the current paid period; there are no partial-period refunds. Any usage caps, included minutes or messages, and overage rates are stated in your plan. If a plan payment fails or is late, we may suspend or pause the related services (including hosting and any live agent) after reasonable notice and restore them once payment is current; extended non-payment may end the plan.

4.Ownership and license

On full payment, you receive a license to use the work we build for you for your own business or personal use. Underlying tools, frameworks, and third-party models are not transferred and remain owned by their respective owners or by MTD Labs. Unless exclusivity is purchased in writing, MTD Labs may reuse non-confidential, non-client-specific components in other work.

5.AI agents - nature and limits

AI agents are automated and probabilistic. They can make mistakes, produce inaccurate or unexpected output, and are not a substitute for professional, legal, medical, or financial advice. You are responsible for reviewing, supervising, and approving how your agent is configured and what it tells your customers. MTD Labs does not guarantee that an agent will be error-free or available without interruption.

6.Your responsibilities and compliance

You are responsible for using our services lawfully and for complying with all laws that apply to your business and your customers - including call-recording and consent laws, calling and marketing rules (such as the TCPA), and any industry-specific requirements. You are responsible for obtaining any consents and providing any disclosures your customers are owed. Unless we agree otherwise in writing, our services are not certified for regulated data (for example, HIPAA-covered health information).

7.Call recording (voice agents)

Where a voice agent records calls, it announces at the start of each call that the call may be recorded and gives the caller the opportunity to decline by disconnecting before recording begins. You remain responsible for ensuring this notice, and any additional consent your jurisdiction requires, is adequate for your customers. See our Privacy Policy for how recordings are handled.

8.Third-party services

Our work may depend on third-party providers (AI model providers, telephony and messaging services, hosting, and payment processors). These are subject to their own terms and availability. MTD Labs is not responsible for outages, changes, or actions of third-party providers outside our control.

9.Availability

We aim for reliable, ongoing operation of hosted services and agents, but do not guarantee uninterrupted or 100% uptime unless a specific service-level agreement is agreed in writing.

10.Acceptable use

We will not build or operate anything illegal or in violation of a platform's terms - including (on the development side) anti-cheat bypass, DRM circumvention, or intellectual-property infringement, and (for AI agents) anything deceptive, harassing, or used to impersonate a person or mislead people about dealing with an automated system where disclosure is required. Violations result in immediate decline or termination.

11.No guarantees and limitation of liability

Work is delivered to the agreed specification. To the maximum extent allowed by law, MTD Labs is not liable for indirect, incidental, or consequential damages, for decisions made in reliance on an AI agent's output, or for breakage caused by future updates or conflicts outside our control. Our total liability for any claim is limited to the amount you paid for the service giving rise to the claim.

12.Disputes

Please contact us first so we can resolve any issue. Chargebacks or public disputes filed without first attempting resolution may result in suspension or termination of service.

13.Cancellation and data after termination

MTD Labs may decline or cancel any project or service at any time. If we cancel a paid build before delivery, we issue a pro-rated refund for undelivered work. Client-initiated cancellations after work has begun follow the refund rules above. When a monthly plan or hosting ends, live services may be taken offline and related data deleted after a short wind-down period; you may request an export of your data before then. We may keep records we are required to retain, such as order and tax history.

14.Scope changes

Your quote covers the work described when it was accepted. Additions or changes requested afterward are quoted separately and require payment before the new work begins.

15.Your materials and content

You may give us materials for your project - logos, text, images, data, and access to accounts or servers. You confirm you own or have the rights to everything you provide and that we may use it to deliver your project. You are responsible for the legality of your content and for keeping your own backups. MTD Labs is not responsible for claims arising from materials you supply.

16.Your cooperation and timelines

Timely delivery depends on your cooperation. You agree to provide the information, content, feedback, and access we need to do the work. If you do not respond or provide what is needed for an extended period (typically 14 days), we may pause or close the project; amounts already paid remain non-refundable, and resuming a closed project may require a new quote.

17.Confidentiality

While working together, each side may learn non-public information about the other. MTD Labs and you agree to keep each other's confidential information private and to use it only to provide and use the services. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law.

18.Disclaimer of warranties

Except as expressly stated in writing, our services and deliverables are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the work will be uninterrupted, error-free, or meet expectations not set out in your quote.

19.Indemnification

You agree to defend, indemnify, and hold MTD Labs harmless from claims, damages, losses, or costs (including reasonable legal fees) arising from: your use of the work or services; content or materials you provide; your failure to comply with laws that apply to you or your customers (including call-recording, consent, and marketing rules such as the TCPA); or how you configure, operate, or rely on an AI agent we build for you.

20.Force majeure

Neither side is responsible for delays or failures caused by events beyond its reasonable control, such as outages, third-party provider failures, natural disasters, power or network failures, or government action. Affected obligations are paused until the event passes.

21.Governing law and jurisdiction

These terms, and any dispute relating to them, are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules, and the state and federal courts located in Florida have exclusive jurisdiction (either party may still seek injunctive relief where appropriate). This sets the law for the agreement between you and MTD Labs; it does not change your separate responsibility to follow the laws that apply to your own business and customers, which depend on where you and they are located (see Section 6).

22.General terms

If any part of these terms is found unenforceable, the rest stay in effect. These terms, together with your written quote, are the entire agreement between us and replace earlier discussions. Our not enforcing a term is not a waiver of it. You may not transfer your agreement without our consent; we may assign ours to a successor, such as in a sale of the business. MTD Labs works as an independent contractor, not your employee, partner, or agent. We can reach each other through the contact methods listed below.

23.Eligibility and changes

You confirm you are at least 18 and authorized to enter this agreement on behalf of yourself or your business. MTD Labs may update these terms; material changes take effect when posted here, with the "last updated" date revised.
